Terms and Conditions
Agreement between User and MissionCIT® LLC
MissionCIT, LLC (MCIT or MissionCIT or MISSIONCIT) offers various products, including but not limited to Educational Content, Training Services, Entry & Promotional Testing, and Consulting Services (collectively, “Products”). This Agreement covers all Products acquired through or delivered via the www.missioncit.com website, subdirectories, subdomains, and partner-linked sites (collectively, “missioncit.com” or “the Site”) and the usage of missioncit.com.
The Products and missioncit.com are offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of the Products and missioncit.com constitutes your agreement to all such Terms. Please read these Terms carefully and retain a copy for your reference.
PRODUCTS AND SERVICES
MissionCIT Learning Portal, Training Services, and Educational Content (“Content”) Content may be delivered via any combination of missioncit.com training media, third-party video communications platforms, and in-person at a designated training facility. The Content may be from MCIT, an MCIT partner, or a subcontractor.
Entry and Promotional Testing (“Assessment”). Assessment may be delivered by any combination of the online testing platform via missioncit.com, third-party video communications platforms, and in-person at a designated testing facility. The Assessment may include resources from MCIT or an MCIT partner, subcontractor, or the entity on whose behalf the Assessment is being administered (“Customer”).
Consulting Services (“Services”) Services may be delivered by any combination of online missioncit.com pages, tools, and media, via third-party video communications platforms, and as electronic files delivered in a mutually agreeable format. The Services may be developed or delivered by resources from MCIT, an MCIT partner, or a subcontractor.
RELATIONSHIP TO ENROLLMENT AGREEMENTS
For users enrolled in MissionCIT Live Fire and certain in-person skills training courses who have signed a separate agreement, the Student Participation, Waiver, and Hold Harmless Agreement and its appendices, executed at enrollment (collectively, the “Enrollment Agreements”), govern the training relationship and take precedence over these Terms in the event of any conflict relating to training activities, physical injury liability, use of media captured during training, and dispute resolution. These Terms govern all other aspects of the user’s relationship with MissionCIT and use of the Site. In the event of any conflict between these Terms and the Enrollment Agreements on a subject not described in the preceding sentence, the Enrollment Agreements shall control.
PRIVACY AND DATA PROTECTION
Your use of missioncit.com is subject to MissionCIT’s Privacy Policy. Please review the Privacy Policy, which also governs missioncit.com and informs users of our data collection practices.
MissionCIT handles personal data collected through this Site in compliance with the Connecticut Data Privacy Act (CGS § 42-515 et seq.) and applicable federal privacy laws. In the event of a security breach involving your personal information, MissionCIT will notify affected users in accordance with Connecticut General Statutes § 36a-701b and any other applicable law.
MissionCIT shall provide notice by email to the address on file at least fourteen (14) days before any material change to the Privacy Policy that affects how your personal data is used takes effect.
ELECTRONIC COMMUNICATIONS
Visiting missioncit.com, using missioncit.com, or sending emails to MCIT constitutes electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically, via email, and on the Site satisfy any legal requirement that such communications be in writing.
YOUR ACCOUNT
If you use missioncit.com, you are responsible for maintaining the confidentiality of your account credentials and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that MCIT is not responsible for third-party access to your account resulting from theft or misappropriation of your credentials. MCIT reserves the right to refuse or cancel service, terminate accounts, or remove or edit user-entered content at MCIT’s sole discretion.
AGE REQUIREMENTS AND MINOR USERS
Users Under Thirteen (13): MCIT does not knowingly collect, either online or offline, personal information from persons under the age of thirteen (13). Users under thirteen (13) are not permitted to use missioncit.com. MissionCIT’s practices regarding information collected from children under 13 are governed by the Children’s Online Privacy Protection Act (COPPA), 15 U.S.C. § 6501 et seq. If MissionCIT discovers that personal information has been collected from a user under 13 without appropriate consent, MissionCIT will delete that information promptly.
Users Ages Thirteen (13) Through Fifteen (15): Users between the ages of thirteen (13) and fifteen (15) may not use missioncit.com or enroll in any MissionCIT Product without express written permission from MCIT and written parental or guardian consent.
Users Ages Sixteen (16) and Seventeen (17): Users who are sixteen (16) or seventeen (17) years of age may access and use missioncit.com subject to the following limitations:
- Online-Only Courses: Users ages sixteen (16) and seventeen (17) may enroll in online-only courses without parental or guardian consent, provided they are affiliated with a recognized first responder organization.
- Initial EMT Courses: Users ages sixteen (16) and seventeen (17) may enroll in Initial EMT courses only with the prior written consent of a parent or legal guardian. Enrollment without such consent will not be accepted.
- Live Fire and IDLH Training: Users under eighteen (18) years of age may not enroll in any course involving Live Fire training or Immediately Dangerous to Life and Health (IDLH) environments. Any user under eighteen (18) who attempts to enroll in such a course will be redirected to contact MissionCIT for a separate Minor Participant Agreement governing the limited circumstances under which minor participation may be permitted.
- Certification Examinations: Connecticut regulations generally require an individual to be eighteen (18) years of age at the time of any state certification examination. Users under eighteen (18) are advised to confirm their eligibility with the Connecticut Commission on Fire Prevention and Control (CFPC) or Connecticut Office of EMS (CTOEMS) or applicable certifying authority in your state before enrolling.
For all course enrollments involving in-person training, the age requirements and participation limitations set forth in the applicable Enrollment Agreement govern and may impose a higher age threshold than this section.
USERS OUTSIDE THE USA
The Site is controlled, operated, and administered by MCIT from our offices within the USA. If you access missioncit.com from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the Products accessed through missioncit.com in any country or in any manner prohibited by any applicable laws, restrictions, or regulations.
ORDER ACCEPTANCE
All orders received are subject to acceptance by MCIT at our sole discretion. All processed orders are subject to availability. MCIT is not liable for delays in product or service shipment or delivery.
Reservations and Exceptions. We reserve the right to adjust pricing on products at any time. Pricing adjustments will not apply to orders already accepted and confirmed by MissionCIT in writing. We reserve the right to modify terms, specifications, and descriptions for Products on missioncit.com at any time. Any errors in Product specifications, descriptions, and pricing are subject to correction by MCIT. We reserve the right to reject any order that is not consistent with the Terms.
Shipping. MCIT reserves the right to select any third-party carriers for shipments. Shipping charges are invoiced according to costs related to the third-party shipping company. All liability for loss passes to the Customer once it leaves our warehouse. MCIT will honor replacement merchandise for damaged shipments after the item or items are returned to us. Claims of non-delivery will be honored if the third-party carrier offers no proof of delivery. Otherwise, the merchandise shall be deemed delivered.
PAYMENT
The User must pay for online-only Content and Assessments in advance of usage. Hybrid and in-person Courses must be paid per the terms of the order, but course credit will not be conveyed until MCIT receives full payment. MissionCIT offers various payment options to accommodate payments from individuals or organizations. Please contact us with any questions or for a payment plan. For Students who have not paid in advance by credit card, you consent to receive invoices via email and text.
Acceptance of Terms by Third-Party Payers. When enrollment, contract for Products, or payment arises from a third party on behalf of the User, the User will be deemed to have accepted these Terms. For the avoidance of doubt, use of the Site constitutes acceptance of these Terms by the User.
CANCELLATION AND REFUND POLICY
Courses with In-Person Training. Cancellations made at least five (5) business days before the course start date are eligible for a full refund. Cancellations made less than five (5) business days before the course begins will result in an account credit for use in future courses rather than a cash refund. All authorized refunds will be processed via check.
Physical Product Cancellations. Physical product orders may be canceled before being delivered to a common carrier for shipment. Once delivered to the common carrier, orders are deemed to have shipped and may not be canceled.
Assessment Cancellations. Assessment cancellations must be made at least five (5) business days before the scheduled assessment date to be eligible for a refund. Any preparatory work already completed will be charged at a rate of $150.00 per hour. These charges will be deducted from any prepaid funds before calculating the refund amount.
Physical Product Returns. We do not accept returns for perishable items. Defective physical products will be exchanged for the same or similar products. Refunds are not given for defective product claims.
Transaction Fees. A transaction fee equal to the greater of ten percent (10%) of the refund amount or $50.00 USD will be charged for all refunds issued for credit card payments. For all other payment types, a flat fee of $50.00 USD will apply to all refunds.
Subscriptions and Renewals. Subscribers are responsible for monitoring their renewal payments. MissionCIT will email subscribers about upcoming renewals five (5) days before charging their credit card. Subscribers may cancel their subscription at any time up to one (1) day before the next renewal charge. For charges under $50.00, no refunds will be issued. For charges exceeding $50.00, MissionCIT may, at its discretion, issue a refund by check for the amount paid, minus a $50.00 handling fee.
Force Majeure. If MissionCIT is unable to deliver a Course or Product due to a Force Majeure Event as defined in the Force Majeure section of these Terms, MissionCIT will use commercially reasonable efforts to reschedule. If the Force Majeure Event prevents delivery for more than ninety (90) days, either party may terminate the order, and MissionCIT will refund Course fees paid for the undelivered portion, less non-recoverable costs already incurred.
ACKNOWLEDGMENT OF INJURY, MEDICAL, AND HEALTH RISKS
The User acknowledges and agrees that public safety related training involves inherent risks of injury. User voluntarily assumes all risks associated with participation, including but not limited to injuries, property damage, or any other harm arising from User’s presence on, in, or use of MissionCIT or third-party training equipment, apparatus, ride-alongs, or any devices used for public safety, fire, or EMS related training.
To the fullest extent permitted by Connecticut law, User agrees to release and hold harmless MissionCIT and its Partners from any and all liability for injuries, damages, or losses suffered by the User arising from ordinary negligence in connection with such participation. This release does not extend to acts of gross negligence or willful misconduct. Nothing in this section constitutes a waiver of any governmental or sovereign immunity available to any Municipal Entity or Training Entity under Connecticut law. For purposes of this section, ‘Partners’ means MissionCIT’s authorized subcontractors, training facility operators, and third-party content providers engaged in the delivery of MissionCIT Products.
For students enrolled in fire service training courses, User acknowledges being a trained or trainee fire service professional undertaking training in furtherance of professional duties, and that this release supplements but does not replace the NFPA 1582 medical evaluation attestation and the assumption of risk provisions required under the Enrollment Agreements executed in connection with course enrollment. In the event of any conflict between this section and the Enrollment Agreements, the Enrollment Agreements shall control.
The User understands that participation in First Responder courses involving in-person training may result in close contact with other students and instructors, and potential exposure to diseases, human blood, or bodily fluids. User agrees to practice precautions as advised by course materials and instructors. User hereby releases and agrees to hold harmless MCIT, its Partners, and their respective employees and agents from any and all damages resulting from such contact, to the fullest extent permitted by Connecticut law, excluding gross negligence and willful misconduct.
The User acknowledges that participation in public safety training — including EMS, Fire Service, and Emergency Management courses — involves physical activity and associated risks. User certifies that their physical condition will allow them to participate without risk to themselves or others, and acknowledges that this self-certification supplements the NFPA 1582 departmental attestation required under the Enrollment Agreements for Live Fire Training. User agrees to adhere to all instructions and safety precautions, including compliant use of Personal Protective Equipment as directed by course materials and instructors when required.
User also acknowledges that course materials may contain content that the User finds disturbing due to the nature of First Responder activities. User releases and holds harmless MissionCIT and its Partners from any claims for emotional distress arising from such content, to the fullest extent permitted by Connecticut law.
If the User is an Agency, Department, Company, Corporation, or other Entity acquiring training for its employees, contractors, or affiliated members, the User assumes responsibility for risks associated with MissionCIT training and agrees to all terms herein on behalf of its organization and staff.
MEDIA USE AND PUBLICITY RELEASE
For students enrolled in MissionCIT Live Fire training courses, the use of likeness, voice, and image captured during training is governed exclusively by Appendix II — Photo, Video, and Social Media Release — executed at enrollment, which controls over any conflicting provision in these Terms with respect to training activities.
For all other users and activities not covered by the Enrollment Agreements, by registering for or participating in any course, training, event, or activity provided by MissionCIT, you grant MissionCIT and its agents, employees, and partners the perpetual, royalty-free right to photograph, video record, and audio record you during your participation. MissionCIT may use such recordings, photographs, and your likeness, name, and voice (“Media Materials”) for non-commercial educational and operational purposes, including educational programs, internal training, course development, accreditation, and publicity within the fire service community, without further compensation or notification.
Commercial Marketing Use. Use of Media Materials for commercial marketing or promotional purposes — including paid advertising, sponsored content, and promotional campaigns — requires your separate written consent. MissionCIT will not use your likeness for commercial marketing purposes without your affirmative opt-in.
Opt-Out Procedure. If you do not wish to have your image or likeness used for any purpose, you must advise us in writing prior to or within twenty-four (24) hours of the start of your activity. Written opt-out requests must be sent to [email protected] with “Media Opt-Out” in the subject line, or delivered in person during normal working hours at 3 Enterprise Drive, Suite 215, Shelton, CT 06484, to a MissionCIT Manager. Absent such written notice, your consent to non-commercial educational use is implied.
LINKS TO THIRD-PARTY SITES AND SERVICES
The Products and missioncit.com may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of MCIT, and MCIT is not responsible for the contents of any Linked Site, including any link contained in a Linked Site or any changes or updates to a Linked Site. These links are provided for convenience only and do not imply endorsement of any Linked Site by MissionCIT or any association with its operators.
Certain Products made available via missioncit.com are delivered by third-party sites and organizations. By using Products or functionality originating from missioncit.com, you acknowledge and consent that MCIT may share information and data with any third party with whom MCIT has a contractual relationship to provide the requested product, service, or functionality on behalf of missioncit.com users and customers.
INTELLECTUAL PROPERTY, CONFIDENTIALITY AND ACCEPTABLE USE
You are granted a non-exclusive, non-transferable, revocable license to access and use missioncit.com strictly in accordance with these Terms. You warrant to MCIT that you will not use missioncit.com for any purpose that is unlawful or prohibited by these Terms, and will not use missioncit.com in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of missioncit.com.
All Content included as part of the Products — including text, graphics, logos, images, attachments, software, and compilations thereof — is the property of MCIT or its Partners and is protected by applicable federal and state copyright, trademark, trade secret, and other intellectual property laws. You agree to observe all copyright and proprietary notices and will not modify, publish, transmit, reverse engineer, participate in the transfer or sale of, create derivative works from, or in any way exploit any Content found on missioncit.com, in whole or in part. MCIT Content is not for resale.
You will use protected missioncit.com content solely for your personal use in connection with your enrollment or engagement with MissionCIT and will make no other use of the Content without the express written permission of MCIT and the applicable copyright owner. You do not acquire any ownership rights in any protected content. No licenses, express or implied, to the intellectual property of MCIT or its third-party partners are granted except as expressly authorized by these Terms.
The User shall not upload, submit, copy, or otherwise input the MCIT’s Confidential Information into any third-party generative AI, large language model, training corpus, vector database, or similar system, nor use the other MCIT’s Confidential Information to train, fine-tune, or evaluate any AI/ML model, without the Disclosing Party’s prior written consent.
Without MissionCIT’s prior written consent, the User shall not record, screen-capture, photograph, transcribe, or otherwise reproduce any demonstrations, walkthroughs, virtual or in-person training sessions, PowerPoint presentations, or interactive sessions provided as part of the Purpose.
The User shall not remove, obscure, or alter any copyright, trademark, watermark, confidentiality legend, or other proprietary notice on or in any Protected Materials.
Workbooks (PDF or printed), PowerPoint files, test banks, interactive content, and platform exports may not be republished, posted to public or shared cloud locations, distributed to third-parties, sold, or sublicensed.
For students enrolled in a Live Fire Training Course, the intellectual property terms set forth in Appendix IV — MissionCIT Intellectual Property and Acceptable Use — executed at enrollment, supplement, and take precedence over this section with respect to course-specific materials and the student’s license to use MissionCIT IP.
USE OF COMMUNICATION SERVICES
The Site may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, or other message or communication facilities (“Communication Services”). You agree to use the Communication Services only to post, send, and receive messages and material that are proper and related to the particular Communication Service.
By way of example and not limitation, you agree that when using a Communication Service, you will not: defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights of others; publish, post, upload, distribute, or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful topic, name, material, or information; upload files containing software or other material protected by intellectual property laws unless you own or control the rights or have received all necessary consents; use any automated tool, bot, scraper, or artificial intelligence system to access, collect, reproduce, or interact with the Communication Services or any Site content without MissionCIT’s express written permission; upload files containing viruses or other software that may damage the operation of another’s computer; advertise or offer to sell or buy goods or services unless the Communication Service specifically allows such messages; conduct surveys, contests, pyramid schemes, or chain letters; falsify or delete any author attributions or proprietary designations; restrict or inhibit any other user from using the Communication Services; harvest or collect information about others, including email addresses, without their consent; or violate any applicable laws or regulations.
MCIT reserves the right to review, remove, or refuse materials posted to a Communication Service at its sole discretion, and to terminate your access to any or all Communication Services at any time without notice. MissionCIT reserves the right to disclose any information necessary to satisfy any applicable law, regulation, legal process, or governmental request. Users are not authorized MissionCIT spokespersons, and their views do not necessarily reflect those of MissionCIT. MCIT specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation therein.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless MCIT, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses — including reasonable attorney fees — relating to or arising out of your use of or inability to use the Products or missioncit.com, any postings made by you, your violation of any terms of this Agreement, your violation of any rights of a third party, or your violation of any applicable laws, rules, or regulations. This indemnification does not apply to your inability to use Products arising from MissionCIT’s own breach of the applicable Enrollment Agreement or from injuries sustained during training that are the subject of the Enrollment Agreement’s liability provisions. MCIT reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with MCIT in asserting any available defenses.
ASSESSMENT INDEMNIFICATION
The User specifically agrees that the assessment process, questions, grading, and scoring are final and accepts the process and results as delivered. Unless specifically identified in the Assessment description, the Assessment will be conducted in the USA English language. Grammar associated with the Assessment will be consistent with a third-party USA English grammar checker.
The User acknowledges that MCIT follows an assessment process reviewed by third-party subject matter experts who advise on the accuracy, appropriateness, difficulty, and lack of cultural bias of each question, its answers, and scoring rubric. User agrees that MCIT’s sole obligation during an Assessment is to deliver questions consistent with the subject matter being tested and to faithfully grade those questions per a Customer-approved grading rubric. Final scores are developed to be acceptable to the Customer per its criteria for the test being administered.
The User agrees to indemnify and hold harmless MCIT, its officers, directors, employees, agents, Customer, and third parties for any losses, costs, liabilities, and expenses — including reasonable attorney fees — relating to or arising out of the Assessment process and its results. This indemnification applies to claims arising from the User’s own conduct in the assessment process and does not require the User to indemnify MissionCIT for MissionCIT’s own errors in question delivery, grading system failures, or administrative mistakes attributable solely to MissionCIT.
LIABILITY DISCLAIMER
THE INFORMATION, CONTENT, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. MISSIONCIT AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME. MISSIONCIT AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. MISSIONCIT AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MISSIONCIT AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF MISSIONCIT OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. THIS LIMITATION APPLIES TO ALL CLAIMS INCLUDING THOSE ARISING FROM PARTICIPATION IN IN-PERSON TRAINING ACTIVITIES, SUBJECT TO THE LIMITATIONS OF APPLICABLE CONNECTICUT LAW AND THE TERMS OF THE APPLICABLE ENROLLMENT AGREEMENTS.
BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, PRODUCTS, OR WITH ANY OF THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE, THE PRODUCTS, OR BOTH.
REGARDLESS OF THE FOREGOING, MISSIONCIT’S MAXIMUM LIABILITY SHALL BE NO GREATER THAN THE AMOUNT PAID BY THE USER TO MISSIONCIT FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.
FORCE MAJEURE
Neither Party shall be liable for any delay or failure to perform its obligations under these Terms — except for payment obligations already due — to the extent caused by circumstances beyond that Party’s reasonable control, including acts of God, fire, flood, severe weather, epidemic, pandemic, governmental action, civil unrest, terrorism, war, labor disputes, or utility failure (“Force Majeure Event”). The affected Party shall notify the other as soon as practicable. Notice to Users of a Force Majeure Event shall be provided by email to the address on file in the User’s account or, where no account exists, by posting a notice on missioncit.com. MissionCIT’s obligations shall be suspended for the duration of the Force Majeure Event, and MissionCIT shall use commercially reasonable efforts to reschedule or deliver the affected Product or Service promptly upon its conclusion. If a Force Majeure Event prevents delivery for more than ninety (90) days, either Party may terminate the affected order, and MissionCIT shall refund fees paid for the undelivered portion, less non-recoverable costs already incurred.Â
DISPUTE RESOLUTION AND GOVERNING LAW
Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut without regard to its conflict of laws principles.
For students enrolled in Live Fire training courses, disputes arising directly from training activities, injuries, or the Enrollment Agreements shall be resolved exclusively under the dispute resolution provisions of the Enrollment Agreements.”
Negotiation. In the event of any dispute arising out of or relating to these Terms or any Product or Service, the Parties shall first attempt to resolve the matter through good faith negotiation for a period of thirty (30) days from the date one Party provides written notice of the dispute to the other.
Arbitration. If the dispute remains unresolved after the negotiation period, it shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect, before a single neutral arbitrator. The seat of arbitration shall be Shelton, Connecticut, or such other location as the Parties may agree in writing. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. The Parties shall share the costs of arbitration equally unless the arbitrator determines otherwise. The arbitrator shall determine the scope and enforceability of this arbitration provision. This arbitration provision shall survive the termination of these Terms.
Injunctive Relief. Notwithstanding the foregoing, either Party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction without first exhausting the negotiation or arbitration process, where necessary to prevent irreparable harm.
Venue for Court Proceedings. To the extent any dispute proceeds in court — including for enforcement of an arbitration award or for injunctive relief — each Party irrevocably consents to the exclusive jurisdiction and venue of the Superior Court of the State of Connecticut, Judicial District of Ansonia-Milford at Derby, and waives any objection that such court is an inconvenient forum.
Class Action Waiver. Any arbitration or legal action under these Terms will take place on an individual basis. Class arbitrations and class, representative, or collective actions are not permitted. Each Party may bring claims against the other only in its individual capacity and not as a plaintiff or class member in any putative class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of a representative or class proceeding unless both Parties agree otherwise.
Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY HEREBY IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR ANY PRODUCT OR SERVICE. THIS WAIVER APPLIES ONLY TO PROCEEDINGS IN COURT AND DOES NOT AFFECT THE ARBITRATION PROVISIONS ABOVE.
GENERAL PROVISIONS
i. Entire Agreement. These Terms, together with the Privacy Policy and, for students enrolled in Live Fire Training, the Enrollment Agreements, set forth the entire agreement of the Parties with respect to the subject matter hereof and supersede all prior agreements, understandings, statements, or proposals relating to such subject matter. Any additional conditions included on any purchase order or other document shall not be binding on either Party unless explicitly accepted in writing.
ii. Amendment. MissionCIT reserves the right to change these Terms at any time in its sole discretion. The most current version will supersede all previous versions. For material changes to these Terms that affect the rights of users currently enrolled in a Course, MissionCIT will provide notice by email to the address on file at least fourteen (14) days before the changes take effect. Continued use of the Site after the effective date of any change constitutes acceptance of the revised Terms.
iii. Notices. All formal notices hereunder shall be in writing and shall be given by delivery in person, by email with proof of receipt, or by certified or registered mail, postage prepaid, return receipt requested, addressed to the representative executing this Agreement on the other Party’s behalf. Notices to MissionCIT shall be addressed to: MissionCIT, LLC, 3 Enterprise Drive, Suite 215, Shelton, CT 06484, with a copy to [email protected].
iv. Non-Waiver. No failure or delay by any Party in exercising any right or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy.
v. Severability. The provisions of these Terms are intended to be severable. If any provision is held to be unenforceable under any rule of law, the remaining provisions shall remain in full force and effect.
vi. Assignment. No Party may assign any rights or obligations hereunder without the prior written consent of the other Party, except that MissionCIT may assign these Terms to an Affiliate or successor in interest without consent. For purposes of this Section, “Affiliate” means any entity that controls, is controlled by, or is under common control with MissionCIT, LLC, where “control” means the direct or indirect ownership of more than fifty percent (50%) of the voting securities or equivalent ownership interest of an entity. Any attempt to assign in contravention of this provision shall be void.
vii. Electronic Signatures and Counterparts. If not accepted at time of order, these Terms may be accepted electronically. Electronic acceptance, signatures, and records shall be deemed valid and binding pursuant to Connecticut’s Uniform Electronic Transactions Act (CGS § 1-272 et seq.).
